TERMS OF SERVICE – Rebel Revolution, LLC

Please read these Terms of Service (“Terms”) carefully before using www.RetailRebelRevolution.com (the “Site”), owned and operated by Rebel Revolution, LLC (“Company”, “we”, “us”, or “our”). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site or any associated services.

1. Use of the Site

You agree to use the Site for lawful purposes only. You may not use the Site:

All rights not expressly granted in these Terms are reserved.

3. Event Participation & Registration

By registering for or participating in any event hosted by Rebel Revolution, LLC, you agree to any additional terms provided at the point of registration, including:

  • Booth placement is at the discretion of the Company;
  • Event details are subject to change;
  • Refunds are only issued in accordance with our published refund/cancellation policy;
  • Misconduct, including harassment, disruption, or misuse of event space, may result in removal from the event without refund.

Participation in any event does not guarantee future sales, exposure, or results.

4. Payment Terms

All payments for event registration, memberships, sponsorships, or services must be made in U.S. dollars. Unless otherwise noted, all payments are non-refundable. Rebel Revolution, LLC reserves the right to charge late fees on overdue invoices and withhold services or access until accounts are current.

5. User Accounts

If account access is granted (e.g., via our portal or learning platform), you agree:

  • You are responsible for maintaining the confidentiality of your login credentials;
  • You will not share login credentials with others;
  • You are responsible for all activity under your account;
  • We reserve the right to suspend or terminate accounts we suspect are compromised or misused.

6. Third-Party Services & Links

Our Site may contain links to or rely on third-party platforms (such as payment processors, scheduling tools, or CRMs). Rebel Revolution, LLC is not responsible for the accuracy, legality, or reliability of those third-party services. Your use of those services is governed by the third-party's own terms and policies.

7. Limitation of Liability

To the fullest extent permitted by law, Rebel Revolution, LLC and its affiliates, owners, contractors, employees, and agents shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages—including, but not limited to, lost profits, lost data, or business interruption—arising from:

  • Your use or inability to use the Site or services;
  • Errors or omissions in any content;
  • Delays or failures in performance, including event-related changes.

Our total liability shall never exceed the amount you paid to us in the 12 months preceding the incident giving rise to the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless Rebel Revolution, LLC and its affiliates, officers, employees, contractors, and agents from any claims, liabilities, damages, expenses, or costs (including reasonable attorneys' fees) arising from:

  • Your use of the Site or event participation;
  • Your breach of these Terms;
  • Your violation of any law or the rights of a third party.

9. Force Majeure

We shall not be liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, government restrictions, natural disasters, pandemics, labor disruptions, wars, terrorism, or technical failures.

10. Dispute Resolution

Any disputes arising under these Terms shall first be attempted to be resolved informally. If a resolution cannot be reached, the matter shall be submitted to binding arbitration under the rules of the American Arbitration Association. The location of arbitration shall be Orlando, Florida.

You waive any right to class action proceedings and agree that any dispute will be resolved individually.

11. Governing Law

These Terms and any dispute arising under them shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.

12. Modifications to Terms

Rebel Revolution, LLC reserves the right to modify these Terms at any time. Updates will be posted here, and continued use of the Site after changes indicates your acceptance.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, along with our Privacy Policy and any supplemental event-specific agreements, constitute the full agreement between you and Rebel Revolution, LLC and supersede all prior understandings.
